This Form is an Agreement by two parties to allow the exchange of proprietary information between them, but to prohibit the disclosure of such information to third parties.

This Form is a Certificate of Limited Partnership that typically must be filed with the State in which a Limited Partnership is formed. Note that the Certificate identifies the general and limited partners and summarizes the operative provisions of the partnership agreement.

This is a Form of Equipment Lease. This Form creates a net lease between Lessor and Lessee, whereby Lessee is responsible for rent, maintenance of the equipment. etc. As prepared, this Lease is more favorable to the Lessor.  This Lease may be used, for example, by a business owner to lease assets to the Company he or she owns.

This Form is a form of an Escrow Agreement. It is typically used in connection with an acquisition transaction where some of the money advanced by the Buyer is held in escrow by (typically) an attorney until some performance of the Seller has been completed, or some condition essential to the transaction has been satisfied.

This is a Form of a straightforward generic General Partnership Agreement. In this Form, the Partnership is to be managed by two persons designated as Managing Partners by the Agreement.

This is a Form of Limited Partnership Agreement. It may be used in the context of a family partnership arrangement. It is generally advisable to use a corporation or limited liability company as the general partner so that the liability that typically falls on a general partner falls on an entity that itself enjoys limited liability.
