It is typically used in connection with an acquisition transaction where some of the money advanced by the Buyer is held in escrow by (typically) an attorney until some performance of the Seller has been completed, or some condition essential to the transaction has been satisfied. If the conditions are completed as provided by the contract, the escrowed funds are released to the Seller. If the conditions are not satisfied, the escrowed funds are returned to the Buyer. If there is a dispute as to whether the conditions were, in fact satisfied, the escrowed funds are typically paid into court and the matter adjudicated – or sometimes the dispute is submitted to arbitration.
