This is a Form of a Purchase Agreement for a retail business. Issues such as inventory, accounts receivable and payable, condition of assets, lease of premises, etc. must be addressed in this Agreement. The parties should consider whether, as here, a non-competition clause should be addressed.
Other items to consider are the assignment of a trade name, transfer of customer lists, etc. as applicable. Depending on the nature of the business, consider adding a provision requiring the Seller to remain on the premises for some period of time after the Closing Date to introduce the Buyer to the customers of the business.
