As development of AI and other software programs accelerate, the need for proper protection also accelerates. Persons who work independently or for companies where they retain the rights to their own intellectual property have the right to be rewarded for their creations and protected from unauthorized use. This Agreement recites the Seller’s representation of all rights in the property and provides compensation for the sale of those rights. It gives the Buyer noncompetition and confidentiality protection, and indemnification from the Seller if the property is not as represented. The Seller is protected from any change in control of the Buyer, and payments are guaranteed to the Seller’s heirs if necessary.
