This is a Form of Guaranty that may be used to secure obligations owed by Buyers to Sellers in connection with a stock purchase agreement (as here), or in connection with any other business transaction creating an obligation between Buyers and Sellers.
This is a Form of Guaranty that may be used to secure obligations owed by Buyers to Sellers in connection with a stock purchase agreement (as here), or in connection with any other business transaction creating an obligation between Buyers and Sellers.
In this Form, the party providing the Guaranty is an entity, which the Buyers have purchased from the Sellers. The entity is guaranteeing the Promissory Note between the Buyers and the Sellers. This allows the Sellers to have the protection of not only the individual promise of the Buyers, but also the promise and assets of the entity. It is not unusual to couple these documents with the further protection of a Security Agreement which gives the Sellers a claim against the assets of the entity should there be a default on the Promissory Note.
